]]>Reeds eerder is door KLM besloten en gecommuniceerd, mede gezien de COVID-19 crisis, dat de vaste salarissen van de directie niet stijgen in 2020, dat de variabele beloning over 2019 niet is uitgekeerd en dat op voorhand is afgezien door de directie van variabele beloning over 2020. Ook is de eerder voorgestelde aanpassing van het toekomstige beloningsbeleid die initieel stond geagendeerd voor vandaag, van de agenda gehaald.

 

Benoemingen Raad van Commissarissen

De aandeelhouders hebben vandaag ingestemd met de benoeming van Christian Nibourel als commissaris. Christian Nibourel, momenteel voorzitter van consultancy bedrijf OneUp, was eerder CEO van Accenture voor de Benelux en Frankrijk. Hij volgt Philippe Calavia op, die na 8 jaar terug treedt als commissaris. De aandeelhouders stemden eveneens in met de herbenoemingen van François Enaud en Pierre-François Riolacci voor een tweede termijn van vier jaar.

Toewijzing van de resultaten

Tijdens de vergadering is ook een toelichting gegeven op de toewijzing van de resultaten. Uit de in de jaarrekening vermelde nettowinst van 449 miljoen euro wordt 429 miljoen euro toegevoegd aan de reserves van KLM. Een bedrag van 20.6 miljoen euro wordt uitgekeerd aan de houders van gewone aandelen, prioriteitsaandelen, cumulatief preferente aandelen-A en cumulatief preferente aandelen-C. Voor het deel van dit bedrag dat toekomt aan AIR FRANCE KLM (EUR 20 miljoen), als aandeelhouder, is overeengekomen dit niet op dit moment uit te keren.

Alexandre de Juniac indicated he would accept the proposal, which is due to be discussed at the IATA General Meeting (1-3 June 2016).

]]>The Air France-KLM Group’s Board of Directors has prepared a plan to appoint a successor to Mr. de Juniac given his imminent appointment as the IATA Director General and CEO, from 1 August 2016 at the latest. According to the Air France-KLM Board’s internal rules, the Air France-KLM Appointments and Governance Committee - with the help of an international recruitment consultancy - has initiated the process of identifying the best executive able to continue the Group’s consolidation and development.

Members of the Air France-KLM Group’s Board of Directors would like to pay tribute to the outstanding work of Alexandre de Juniac in achieving the Group’s economic and financial recovery, enhancing its range of services and winning back customers. The Air France-KLM Board is delighted that these accomplishments have been recognized in the confidence of the IATA Board of Governors’ recommendation for Alexandre de Juniac to lead their global association. Alexandre de Juniac will be the first person coming from a French airline to lead IATA.
